Please read these terms and conditions carefully before signing the order form for additional products or services.
By signing the orderr, you acknowledge that you have read, understood, and agreed to the following terms and conditions:
1. By signing this order form, you represent and warrant that you are duly authorized to act on behalf of the company or entity named in the order form and have the authority to enter into this agreement.
2. You agree to order the products or services specified in this order form for the minimum term as indicated in the form. The minimum term refers to the minimum duration for which the products will be provided – which may be longer than your main Navigator Contract.
3. You acknowledge and agree that their may be transaction prices for the products specified in this order form as indicated at https://www.dmsnavigator.info/add-ons/transaction-price-list which may change from time to time with 30 days notice.
4. This order form is an extension of the main Navigator contract between your company and Dealer Management Services Ltd (DMS Navigator). All terms and conditions stated in the main Navigator contract apply to this additional product order as well.
5. This order form is subject to acceptance by DMS Navigator. DMS Navigator reserves the right to accept or reject this order form in its sole discretion. If the order form is rejected, DMS Navigator will notify your company promptly, and no contractual obligations will arise.
6. Payment for the products and services specified in this order form shall be made in accordance with the payment terms set forth in the main Navigator contract or as otherwise agreed upon between your company and the vendor.
7. Any request for cancellation or modifications to this order form must be submitted in writing and agreed upon by both parties in writing. The vendor reserves the right to charge applicable fees for cancellations or modifications made after the acceptance of this order form.
8. The warranties for the additional products ordered shall be as specified in the main Navigator contract.
9. This order form and any disputes arising out of or in connection with this order form shall be governed by and construed in accordance with English Law.
10. This order form, together with the main Navigator contract and any other referenced agreements, constitutes the entire agreement between your company and the vendor concerning the additional product order and supersedes all prior or contemporaneous agreements, understandings, negotiations, and discussions, whether oral or written.
